The basic characteristics of the various types of legal entities (i.e., corporations, partnerships, trusts, etc.) which borrow or guarantee loans and the documentation required for each will also be discussed. Perfection requirements for problems involved in securing a loan by UCC and non-UCC collateral and priorities among lenders will be addressed.
